1. Acceptance of Terms
These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and FutureSelf RX, a Wyoming limited liability company (“FutureSelf RX,” “Company,” “we,” “us,” or “our”), governing your access to and use of the website located at futureselfrx.ai and any related platform, application, tools, or services (collectively, the “Services”).
By creating an account, accessing the Services, or clicking to accept or agree to these Terms, you represent that you have read, understood, and agree to be bound by these Terms, and, if applicable, that you are authorized to bind the entity on whose behalf you are acting.
2. Provider-Only Platform
The Services are intended solely for use by licensed medical professionals, licensed healthcare practices, and authorized practice personnel acting within the scope of their license and employment. The Services are not intended for use by consumers, patients, or members of the general public, and no content on the Services should be construed as being directed to patients.
By using the Services, you represent and warrant that you are a licensed healthcare provider, or an authorized employee, contractor, or agent of a licensed healthcare practice, acting within the scope of your professional duties.
3. Important Regulatory Notice
Certain statements on this website have not been evaluated by the U.S. Food and Drug Administration. Nothing on the Services is intended to diagnose, treat, cure, or prevent any disease, and nothing on the Services constitutes medical advice, prescribing guidance, or patient-specific treatment recommendations.
4. FutureSelf RX’s Role and Scope of Services
FutureSelf RX is a technology platform and administrative services provider only. FutureSelf RX:
is not a manufacturer, pharmacy, wholesale distributor, dispensing entity, or licensed prescribing provider; does not take title to, prescribe, dispense, warehouse, ship, or distribute any products or preparations made available through third-party suppliers, manufacturers, or pharmacy partners accessible through the Services; does not independently verify, endorse, or guarantee the safety, efficacy, legality, or regulatory status of any product, preparation, or service offered by third parties through the Services; and acts solely as an administrative and technological intermediary connecting licensed providers with third-party suppliers, manufacturers, and pharmacy partners.
Any references to sourcing, fulfillment, or supply relationships are administrative and logistical in nature. FutureSelf RX is not a party to, and assumes no responsibility for, the clinical relationship between any Provider and their patients.
5. Clinical and Regulatory Responsibility
The licensed medical provider using the Services (the “Provider”) is solely and exclusively responsible for:
evaluating the regulatory status, appropriateness, safety, and legality of any product or preparation sourced or accessed through the Services; all clinical decision-making, diagnosis, treatment, and prescribing decisions;
obtaining and maintaining all licenses, permits, and authorizations required under applicable federal, state, and local law; compliance with all applicable laws, including but not limited to state pharmacy and medical practice acts, DEA regulations, FDA regulations, and applicable compounding and telehealth laws; and all interactions with, and outcomes experienced by, the Provider’s patients.
FutureSelf RX makes no representations or warranties, express or implied, regarding the safety, efficacy, legality, health benefits, or clinical outcomes associated with any product, preparation, or service accessed through the Services.
6. Eligibility and Account Registration
You must be at least 18 years old and possess the legal authority to enter into these Terms. You agree to provide accurate, current, and complete information during registration and to promptly update such information. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.
7. Acceptable Use
You agree not to:
use the Services for any unlawful purpose or in violation of any applicable law or regulation; misrepresent your licensure, credentials, or authority to use the Services; use the Services to prescribe, recommend, or dispense products outside the bounds of a valid, documented provider-patient relationship where required by law; reverse engineer, decompile, scrape, or attempt to extract the source code or underlying data of the Services; interfere with or disrupt the integrity or performance of the Services; or use the Services to transmit any unlawful, harassing, defamatory, or infringing content.
8. HIPAA and Protected Health Information
To the extent FutureSelf RX creates, receives, maintains, or transmits protected health information (“PHI”) on behalf of a Provider in connection with the Services, such activity is governed by a separate Business Associate Agreement (“BAA”) between FutureSelf RX and the Provider, and by FutureSelf RX’s HIPAA Notice, both of which are incorporated by reference into these Terms. In the event of any conflict between these Terms and an executed BAA regarding the handling of PHI, the BAA shall control.
FutureSelf RX maintains administrative, physical, and technical safeguards designed to protect PHI in accordance with HIPAA; however, no method of electronic transmission or storage is completely secure, and FutureSelf RX cannot guarantee absolute security.
Providers are solely responsible for ensuring their own compliance with HIPAA, including the provision of a Notice of Privacy Practices to their patients and obtaining any necessary patient authorizations.
9. Intellectual Property
All content, trademarks, logos, software, and materials made available through the Services are the property of FutureSelf RX or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended business purpose. No other rights are granted.
10. Third-Party Suppliers and Links
The Services may facilitate connections with, or contain links to, third-party manufacturers, pharmacies, suppliers, or service providers. FutureSelf RX does not control and is not responsible for the products, services, content, privacy practices, or conduct of any third party. Your dealings with any third party accessed through the Services are solely between you and that third party, and you assume all risk associated with such dealings.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. FUTURESELF RX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PRODUCT OR PREPARATION SOURCED THROUGH THE SERVICES WILL MEET YOUR OR YOUR PATIENTS’ REQUIREMENTS.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
a. IN NO EVENT SHALL FUTURESELF RX, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, ANY PRODUCT OR PREPARATION SOURCED THROUGH THE SERVICES, OR ANY PATIENT OUTCOME, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF FUTURESELF RX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
b. IN NO EVENT SHALL FUTURESELF RX’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (i) THE TOTAL FEES PAID BY YOU TO FUTURESELF RX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).
c. THESE LIMITATIONS APPLY REGARDLESS OF WHETHER A CLAIM IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND SHALL SURVIVE ANY TERMINATION OF THESE TERMS.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you in full.
13. Indemnification
You agree to defend, indemnify, and hold harmless FutureSelf RX and its officers, directors, members, managers, employees, agents, successors, and affiliates (collectively, the “FutureSelf RX Parties”) from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
a. your access to or use of the Services; b. your violation of these Terms or any applicable law, rule, or regulation; c. any product, preparation, prescribing decision, clinical judgment, or patient care decision made or taken by you or under your license; d. any breach of your representations and warranties under these Terms, including your representation regarding licensure; or e. any dispute between you and a patient, third-party supplier, manufacturer, or pharmacy partner.
FutureSelf RX reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with FutureSelf RX’s defense of such claims. This indemnification obligation shall survive termination of these Terms and your use of the Services.
14. Term and Termination
FutureSelf RX may suspend or terminate your access to the Services at any time, with or without cause or notice, including for suspected violation of these Terms or applicable law. You may terminate your use of the Services at any time by ceasing access and closing your account. Sections of these Terms that by their nature should survive termination (including but not limited to Sections 5, 8, 9, 11, 12, 13, 15, and 16) shall survive.
15. Governing Law; Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or the Services shall be
governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in the State of Wyoming, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction located in Wyoming to protect its intellectual property or confidential information. You and FutureSelf RX each waive any right to a jury trial and to participate in a class action.
16. Miscellaneous
Entire Agreement. These Terms, together with any BAA, Privacy Policy, HIPAA Notice, or other referenced policies, constitute the entire agreement between you and FutureSelf RX regarding the Services.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver. FutureSelf RX’s failure to enforce any provision shall not constitute a waiver of that provision.
Assignment. You may not assign these Terms without FutureSelf RX’s prior written consent. FutureSelf RX may assign these Terms without restriction.
Modifications. FutureSelf RX may modify these Terms at any time by posting the revised Terms on the Services. Continued use of the Services after such posting constitutes acceptance of the revised Terms.
Force Majeure. FutureSelf RX shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.
